3. Eligibility and Account Requirements

You must:

• • Be at least 18 years old (or the age of legal majority in your jurisdiction), and
• • Have a valid Nova ID account in good standing.

If you are accepting these Terms on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity, and all references to "you" in these Terms refer to that entity.

Nova Suite reserves the right to approve, deny, suspend, or revoke Program access at its sole discretion.

4. License and Access Rights

Upon acceptance into NS-DP, Nova Suite grants you a non-exclusive, non-transferable, revocable, limited license to:

• • Access and use the Developer Materials and Nova APIs solely for development, testing, and integration of compatible products and services ("Developer Applications"), and
• • Use Nova trademarks and branding only as expressly permitted under a written Brand Usage Agreement (if applicable).

No other rights are granted—expressly or by implication.

All rights not explicitly granted herein are reserved by Nova Suite.

5. Restrictions and Prohibited Conduct

You agree not to:

• • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying models from any Nova technology or API.
• • Copy, reproduce, or redistribute any Developer Materials, SDKs, or proprietary data except as necessary for authorized development.
• • Use Nova Services for any activity that:
  • Violates applicable law, regulation, or third-party rights,
  • Circumvents Nova's access controls or authentication systems,
  • Involves data scraping, spamming, or automation of abusive traffic,
  • Competes with Nova Suite products, or
  • Compromises system integrity or user security.
• • Share your API keys, access tokens, or credentials with any unauthorized person or system.
• • Use Nova's AI models, APIs, or services for generation, processing, or dissemination of harmful, unlawful, or misleading content.

Any violation of this Section may result in immediate termination of your account and potential legal action.

6. Intellectual Property

• • All intellectual property rights in Nova Services, Developer Materials, SDKs, APIs, and related technologies remain the exclusive property of Nova Suite and/or its licensors. These Terms do not transfer any ownership rights to you.
• • Any feedback, suggestions, or improvements you provide ("Feedback") become the property of Nova Suite without obligation or compensation.

7. Data Handling and Privacy

You must comply with all applicable data protection and privacy laws. If your Developer Application processes data from Nova Suite users, you must:

• • Obtain clear and informed consent from those users,
• • Only access or use such data for legitimate, disclosed purposes, and
• • Securely delete user data upon account closure or request.

Nova Suite may collect and analyze usage data related to your Developer Applications to monitor compliance and ensure service reliability.

8. Confidentiality

All non-public information, APIs, or documentation disclosed to you through NS-DP are confidential. You must not disclose or share any Confidential Information without Nova Suite's prior written consent.

This obligation survives termination of your participation in the Program.

9. Security and Compliance

You must:

• • Implement and maintain industry-standard security controls,
• • Promptly report any suspected or actual security breach involving Nova data or systems, and
• • Comply with all applicable export control, sanctions, and compliance regulations.

Failure to maintain adequate security may result in suspension or termination of your Developer access.

10. Termination

Nova Suite reserves the right to:

• • Terminate your participation in NS-DP at any time, with or without cause, and
• • Immediately revoke access to Developer Materials, APIs, and related services.

Upon termination:

• • All licenses granted to you under these Terms automatically expire, and
• • You must immediately discontinue use of and delete all Developer Materials and confidential data.

11. Disclaimer of Warranties

Nova Suite provides the Program and all Developer Materials "as is" and "as available." Nova Suite makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Participation in NS-DP is at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by law, Nova Suite and its affiliates shall not be liable for:

• • Any indirect, incidental, consequential, special, or punitive damages,
• • Loss of data, profits, or goodwill,
• • Service interruptions or system failures, even if Nova Suite has been advised of the possibility of such damages.

Nova Suite's total cumulative liability under these Terms shall not exceed USD $100 or the amount paid by you for Program participation, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Nova Suite, its affiliates, officers, employees, and partners from and against any claims, damages, liabilities, or expenses arising from:

• • Your Developer Applications,
• • Your violation of these Terms, or
• • Any misuse of Nova Services or Developer Materials.

14. Updates and Amendments

Nova Suite may modify these Terms or any related policies at any time. Notice of material changes will be provided via email, in-product notice, or publication on the official NS-DP website. Continued participation after such notice constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, USA, without regard to conflict of law principles.

You agree that any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Maryland.
